Mutual Confidentiality Terms – DBFEX Insurance Quote Submissions
Effective Date: Upon Submission
This Mutual Confidentiality Notice outlines how DBFEX Insurance Services, Inc. (“DBFEX”) treats the information and documents submitted through this form.
By checking the box on our form and submitting information, the submitting party (“you” or “Company”) acknowledges and agrees to the following:
1.Purpose and Scope
Information submitted through this form is provided for the purpose of evaluation by DBFEX in connection with a potential insurance engagement. All such information shall be treated as “Confidential Information” under the guidelines below.
2.Definition of Confidential Information
“Confidential Information” includes any and all non-public, proprietary, business, or technical information submitted through this form, whether written, electronic, or oral, which:
Is clearly marked or otherwise designated as confidential, or
Would reasonably be considered confidential given the nature of the information and the circumstances of disclosure.
3.Use and Protection of Information
DBFEX agrees to:
Use Confidential Information solely for the purpose of evaluating potential underwriting, insurance services, or related opportunities.
Protect such information using reasonable care, at a level no less than it uses to protect its own confidential information.
Restrict access to employees, agents, consultants, and reinsurance partners who have a need to know and are bound by obligations of confidentiality.
Information will not be copied, disclosed, or used for any other purpose without your written consent.
4.Exclusions
The term “Confidential Information” does not include information that:
Was already in DBFEX’s possession before submission;
Is or becomes public through no fault of DBFEX;
Is lawfully obtained from a third party without breach;
Is independently developed by DBFEX without reference to submitted information;
Is required to be disclosed by law or regulation (with prior notice where possible).
5.Retention and Return
Upon request or at the conclusion of any evaluation process, DBFEX will return or securely destroy all submitted Confidential Information unless otherwise required by law or internal compliance protocols.
6.Ownership and Legal Standing
All rights to your Confidential Information remain solely with you. Nothing in this process creates a joint venture, agency, or obligation to transact unless a formal agreement is later signed.
7.Duration of Confidentiality
Confidentiality obligations will remain in effect for five (5) years from the date of submission, regardless of whether a formal business relationship is established.
8.Legal Jurisdiction
These confidentiality terms are governed by the laws of the State of Arizona. Any disputes will be handled in state or federal courts located in Arizona.
